This End User License Agreement ("EULA") is between you and NeuraFrame Studio™ and governs your use of the NeuraFrame Studio™ software (the "Software").
Subject to your compliance with this EULA and payment of applicable fees, you are granted a limited, non-exclusive, non-transferable license to install and use the Software on a licensed device.
Each license is bound to a single device through a device fingerprint. Trial, monthly, and annual licenses each authorize use on the device to which they are issued.
A trial license permits full use for a limited period per device. When the trial ends, the Software enters pass-through mode until a paid license is activated.
If a license is expired or not present, NeuraFrame™ reuse, routing, memory, and workflow features are disabled and requests pass through to your model directly. This is by design and is not a defect.
NeuraFrame Embodied, and any use of the Software to inform or control a physical machine, is provided as a tool, not as a safety system. The Software's rules and escalation behavior are aids, not guarantees, and NeuraFrame Studio™ does not certify the Software as safe for any particular use. You are solely responsible for: the training, quality, and behavior of your own models, policies, perception, and control; defining, configuring, and testing the safety rules for your machine; ensuring that an escalation, or a missing or disabled license, results in a safe state on your hardware; providing independent hardware safeguards such as emergency stops and motion limits; and validating the complete system against the safety, regulatory, and industry standards that apply to your deployment before any real-world or human-adjacent use. You must not bypass, weaken, disable, or override the Software's rule or escalation layer. Any such action, or any deployment that ignores the responsibilities in this section, is at your own risk. To the maximum extent permitted by law, NeuraFrame Studio™ and its owners are not liable for any personal injury, death, property damage, or other loss arising from the operation of a machine that uses the Software, and you agree to indemnify and hold NeuraFrame Studio™ harmless from claims arising out of your deployment. The Software is not intended for use in safety-critical systems without independent, qualified safeguards.
We may provide updates to the Software. Updates are governed by this EULA unless accompanied by separate terms.
The Software is provided as is, without warranties of any kind. To the maximum extent permitted by law, our liability is limited as described in the Terms of Service.
This license terminates automatically if you breach it. On termination you must stop using and remove the Software. The uninstaller removes the Software and, with the purge option, its local data.
